ARTICLE I

Name 

The name of this organization shall be “Lewiston Sportsmen’s Club, Inc.”

ARTICLE II

The purpose of this organization shall be to foster a public sentiment in favor of and to educate the people to a proper appreciation of the protection of useful fish, game, fur-bearing animals, and song, insectivorous, and useful birds, and the propagation and conservation thereof;  to promote the conservation of wild flowers, forests, lakes, and streams; to procure the stocking of waters with fish, and the woods with game, useful birds, and other animals; to secure the enactment, proper codification and enforcement of the laws relative thereto; to safeguard all funds raised from the granting of licenses to hunters and fishermen, or in any other manner; to dismount information to the members and the public by printed matter or otherwise; to hold competitive contests in shooting, archery, casting, and other outdoor activities as the club may decide; to foster the spirit of good sportsmanship; and to support all measures that may lead to the betterment of conditions affecting fish and wildlife in this region and elsewhere.

ARTICLE III

Fiscal Year

The calendar year will be the fiscal year for the Lewiston Sportsmen’s Club, Inc.

ARTICLE IV

Membership and dues

Section 1.  Any person who has attained the age of 12 years or older and supports the purpose of the club is qualified to join our club.

Section 2.  The membership shall pay dues annually to coincide with the fiscal year. The amount of dues shall be determined by the board of directors. The board of directors shall give three months notice before an increase in dues may be implemented.

Section 3.  Deserving members may be selected to be awarded lifetime membership status without payment of dues upon reaching retirement age.

Section 4.  The board of directors shall use its discretion to revoke memberships of those persons who demonstrate willful disregard for the club purpose.

ARTICLE V

Officers and duties

Section 1.  The officers of this club shall be President, Vice-president, Secretary, Treasurer, and five directors who shall constitute a board of directors. Directors shall be elected for the following terms: two elected to serve one year, one elected to serve a two-year term, and one elected to serve a three-year term. The most recent past President will also be a director and serve until a new President is elected. Election of officers shall be by majority vote of the members present at the December meeting.

Section 2.  The management and control of the Lewiston Sportsmen’s Club, Inc. shall be vested in the board of directors. At the January meeting the board shall present to the members, through the proper officers a summary statement of the affairs and financial conditions of the club. It shall determine the amount and kind of bond of any officer and shall fill by appointment all vacancies in office occurring during their administration. Such appointees shall continue to hold office until their successors are elected. The board may convene in executive session as often as is considered necessary by the President or a majority of the members thereof.

Section 3.  The board of directors shall have authority to remove from office any official who is not performing his duties. A three-fourths majority of all the board members is required to dismiss another board member.

 

Section 4.  The President shall preside at all meetings of this organization and of its board of directors, cast the deciding vote in case of a tie and perform such other duties as are incident to the office. He shall appoint all committees and shall assist those committees as necessary. A person may serve an unlimited number of terms as President, but not more than two consecutively.

Section 5.  In the event of the absence of the President, the duties of his office shall be performed by the other officers in the following order; Vice-president, Secretary, and Treasurer.

Section 6.  The Secretary shall keep all correspondence and business of his office in proper form. He shall keep a record of all monthly and board of directors meetings of the club in a permanent record book. He shall keep closely in touch with all of the state’s agencies for conservation, protection, and propagation of fish and wildlife. He shall submit minutes of the previous meetings at each monthly meeting.

Section 7.  The Treasurer shall have charge of the collection of all dues and shall keep a record of the receipts and disbursements of the club’s funds. He shall deposit the funds in an approved responsible bank in this community in the name of the LEWISTON SPORTSMEN’S CLUB. He shall disburse the funds only upon approval of the club and all checks shall be jointly signed by the President and Treasurer. He shall submit a report of all receipts and expenditures at the monthly meeting in such form that it may be readily audited.

ARTICLE VI

Election and Term of office

Section 1.  At the December meeting nominations of candidates for office shall be made from the floor or can be made from a Nominating committee previously appointed by the President.

Section 2.  Voting shall be by ballot. The person receiving the largest number of votes shall be elected.

Section 3.  The term of officers shall be one year or until the next annual election of officers except for Directors, whose terms are defined in Article V, Section 1.

ARTICLE VII

Meetings

Section 1.  Meetings will be held monthly and the board of directors shall set the meeting schedule for the year in December or January.

Section 2.  Special meetings of the board of directors may be called by the President at any time, and shall be called upon request of three members of the board filed with the Secretary, who shall give notice to the members of the time and place of such meeting.

Section 3.  Three members of the board of directors shall constitute a quorum for the transaction of business at any meeting.

ARTICLE VIII

Interpretation of By-Laws

   Any questions as to the meaning or construction of the By-Laws shall be decided by the board of directors and its decision shall control and be binding thereafter until rescinded by majority vote of the members present at some succeeding meeting of the organization.

ARTICLE IX

Amendments to By-Laws

   Amendments of these By-Laws may be introduced at any monthly meeting and adopted by a majority vote of the members present at the next monthly meeting.
